Effective from 1 January 2026 · Last updated: 12 October 2026
1. The agreement
These terms form a client agreement between the Designer, Darja Polášková, trading as Lily Bailey (registered seat: Bělkovice-Lašťany 404, 783 16 Bělkovice-Lašťany, Czech Republic, Business ID / IČO: 21736928), and the Client, the company or individual commissioning the services based on a confirmed quote or order.
By accepting a quote, paying a deposit or confirming a project by email, the Client agrees to be bound by these terms. Together with the quote, they form the entire agreement between us.
2. Payments and project schedule
2.1 Payment terms
- A non-refundable deposit of 50 % is required to secure your spot in my schedule. Work begins only once the deposit is received.
- The remaining 50 % is due upon project completion, before the final high-resolution files are released.
- All invoices are due within 14 days of issue.
- If an invoice is overdue, I may pause work until it is settled. Overdue amounts accrue interest of 2 % per month, or the maximum rate permitted by law if that is lower.
2.2 Project dormancy
Projects rely on momentum. If the Client becomes unresponsive or fails to provide feedback for 30 days without prior notice, the project is considered on hold and removed from my active workflow. I reserve the right to invoice all work completed up to that point, and restarting the project later may incur a restart fee to cover rescheduling.
3. Intellectual property and usage rights
3.1 Final design
Once the final invoice is paid in full, the Client receives an exclusive, worldwide licence to use the final design, unlimited in time and purpose. Until then, the Client has no right to use the designs commercially. All preparation materials, sketches, working files and rejected concepts remain mine.
3.2 Fonts and third-party materials
I design the visual work, but I don’t sell the font software itself. If a design uses a commercial typeface, the Client is responsible for purchasing the appropriate licence (for example for web or print) in their own name. I will always say which fonts are used and where to get them. The same applies to stock images or other third-party materials. Using them without a valid licence is a risk carried solely by the Client.
3.3 Unused concepts
I may reuse sketches or concepts the Client didn’t choose in future projects, provided they are clearly distinct from the final selected design.
3.4 Portfolio and promotion
I may show the finished work and the Client’s brand name in my portfolio, on social media and in case studies. If you need a strict NDA or a quiet launch, we need to agree on it before you accept the proposal.
4. Naming, trademarks and AI
4.1 Naming
If the project includes naming, I check names for linguistic suitability, cultural connotations and basic availability (domains and public trademark databases). I am not a trademark attorney, however, and these checks are not a full legal clearance. Before investing in a new name, the Client is responsible for a final legal check and trademark registration with a qualified lawyer. I am not liable for trademark disputes arising after the name has been chosen.
4.2 Originality
All designs I create are original work. Given how saturated the global market is, I can’t take legal responsibility for accidental similarities discovered after the project is completed, or for trademark applications being rejected.
4.3 Use of AI
I may use AI tools (such as image generators or language models) for ideation, mood boards or research. If a final deliverable contains significant AI-generated elements that could affect its copyright protection, I will tell you openly.
5. Process, revisions and mutual respect
5.1 Revisions
The project price includes two rounds of revisions to the selected concept. Revisions mean adjustments to colour, proportion or typography, not a completely new concept. Further revisions or work beyond the agreed scope are charged at the hourly rate stated in the quote, or my current rate.
5.2 Cancellation
By the Client: if you cancel after paying the deposit, the deposit is non-refundable and you pay for any work completed beyond its amount. By the Designer: in the unlikely event of illness or circumstances beyond my control, I will return the deposit (minus direct costs already incurred) or help you find a suitable replacement designer.
5.3 Mutual respect
I care about a collaborative, respectful creative process. I reserve the right to suspend or end a project in case of abusive communication, a breach of trust, or if the working relationship becomes untenable. In that case, all rights to the work remain mine and payments for work already done are not refunded.
6. Confidentiality and liability
Both of us will keep confidential any non-public business, technical or creative information shared during the project, unless disclosure is required by law. My total liability for any claim connected with a project is limited to the amount the Client has paid for that project, and I am not liable for indirect or consequential losses.
7. Governing law
These terms are governed by the laws of the Czech Republic. If we can’t resolve a dispute amicably, it will be decided by the competent Czech courts. If any part of these terms turns out to be unenforceable, the rest remains valid. Changes to an agreement must be confirmed in writing (email is enough) by both of us.
